History of Our Club

Just a bunch of people with a common love, fixation, whatever you want to call it, for these magical vehicles. Our goals are to have Fun while "Driving our Dreams". To do whatever we can dream up to do with our Corvettes. To be a respected club in the National Council of Corvette Clubs. To help support sports car performance groups like the Sports Car Club of America (SCCA) and 10/10th Motorsports. To help preserve the history of the Corvette. To be part of the growth of the NCM Motorsports Park, To give back to the local community to those deserving of need.

Our By-Laws

Derby City Corvette Club

By-Laws 9‐18‐12


ARTICLE I

Section 1‐ Name The name of the Club shall be the DERBY CITY CORVETTE CLUB.
Section 2‐ Purpose
1) To encourage planned trips, events and social activities for members of the Corvette Club as defined in Article VI, Section 2.
2) To provide and regulate events and exhibitions for Corvette owners.
3) To encourage skillful driving on public highways.
4) To encourage interest in the ownership of Corvette automobiles and stimulate the pride of ownership among Corvette owners.
5) To exchange ideas, general information and technical data relative to Corvettes and Corvette owners.
6) To promote favorable relationships with general public.

Article II
Section 1‐ Members
Membership in the Club shall be open to owners of Corvettes or past owners who plan to
purchase another within 1 year.
Section 2‐ Classes of Memberships
7) Primary, Any person(s) as provided in Section I of this article and having paid such annual dues and fees as required.
8) Associate, Associate members shall be spouses or significant partners living with members as provided in Section I of this article.
Section 3‐ Dues
9) Annual dues will be voted on by the Club yearly.
10) Payment of dues: Annual dues are to be paid by the end of December for the forthcoming calendar year. New members: Upon joining the Club, dues are to be paid to the end of the calendar year and will be prorated on a basis of 1/12th of the annual dues for each month remaining in the year.
Section 4‐ Privileges
Primary and Associate members are entitled to all Club privileges.
Section 5‐ Expulsion
Membership will automatically lapse for nonpayment of dues on March 1st of the new calendar year. Any member may be expelled for infraction of the Club rules or such other causes as may be determined by the majority of the officers as being in the best interests of the Club. However, before such action is taken, the member shall have an opportunity to submit in writing, or in person, their position on any charge of which they have been notified as having been made against them.
Section 6‐ Resignation
Any member may resign by directing a letter of resignation to the President.
Article III
Section 1‐ Annual Meeting
The annual meeting of the members shall be held each November for the election of officers, reports of officers and committees and such other business as lawfully may come before the meeting.
Section 2‐ Monthly Meetings
Membership meetings will be held on a monthly basis.
Section 3‐ Special Meetings
In addition to any provisions of the Law, special meetings of the members may be called by the President or by a majority of the officers.
Section 4‐ Notice of Special Meetings
Notice of special meetings, stating the place, day, hour and purpose of any meeting of members, shall be given by an appointed member and sent not less than 5 days before such meetings.
Section 5‐ Quorum
At all stated meetings of the members, one‐fifth of the active members shall constitute a quorum.
Section 6‐ Voting
All action shall be determined by a majority of members, in good standing, present.
Article IV
Section 1‐ Number of Officers
The elected Officers of the Club shall be a President, Vice‐President/Governor, Secretary, Treasurer, Social Director, Competition/Points Director, and Sergeant At Arms.
Section 2‐ Elections of Officers
Election of Officers shall be held at the Annual Meeting in November. All officers shall be elected by a majority vote. Members in good standing wishing to vote by Absentee Ballot shall request same from the Secretary and return same to the Secretary prior to the election meeting.
Section 3‐ Terms of Office
The terms of office shall be for one year. Officers shall begin their term of office on January 1st following the November election.
Section 4‐ Officer Resignation
In the event that any of the aforementioned officers shall resign or become unable to hold office before the end of their elected term, the President shall appoint a member to fill the vacancy of said term.
Article V
Section 1‐ Duties of the President
The President shall preside at all meetings of the members and officers and shall perform the duties pertaining to the office. The President may call special meetings of the Members of the Board of Directors, and may exercise special authority as noted elsewhere in these by-laws. The President shall be the Chief Executive of the Club.
Section 2‐ Duties of Vice President / Governor
The Vice President will officiate at meetings or events in the event of absence or Resignation of the President. The Governor is responsible to ensure the Club remains in Good Standing with NCCC by at minimum ensuring voting proxies are in the hands of the Regional Executive prior to every National Governor’s meeting not personally attended. As directed by the Board of Directors the Governor is encouraged to attend at least two of the scheduled meetings established by the National Council of Corvette Clubs and shall attend at least 75% of all the Indiana/ west Kentucky Region Meetings. The Governor shall present all activities or communications regarding items for publication, competition, membership, and social functions to the club. The Governor shall present a written report detailing information discussed at the NCCC Governors Meetings in the Club newsletter annually.
Section 3‐Duties of the Secretary
The Secretary shall perform all duties to this office, required by law or by the majority vote of the Club. The Secretary shall have custody of the Club’s records. The Secretary shall take minutes of the general meetings and shall report same in the monthly newsletter or at the next meeting.
Section 4‐ Duties of the Treasurer
The Treasurer shall keep an up to date roll of all Club members. The Treasurer shall perform all duties incident to this office, required by law or by majority vote of the Club. The Treasurer shall have custody of all monies of the Club and deposit same in Club account. The Treasurer shall make all payments of Club debts upon approval of the majority of members.
All contracts, checks, drafts, notes or other orders for payment of money shall be signed in the name of the Club by the Treasurer. The Treasurer shall give a report on the financial status of the Club at the monthly meetings, and, if so required, at any other meeting of the officers. No obligations, debt or liability shall be incurred by the treasurer without the specific approval of the Club.
Section 5‐ Duties of the Social Director
The Social Director shall chair a committee which shall be responsible for setting up a list of club outings for the upcoming year, at least one per month starting with January through December. The Director or a member of the Social Committee is to attend the monthly Board meeting for a report on activities.
Section 6‐ Duties of the Competition Director / Points Director
The Competition Director shall be responsible for informing club members of upcoming shows, cruises, and sanctioned events with the times, dates, and locations of the activity. The Competition Director is ultimately responsible for the competition points program and is responsible to select and purchase the year-end awards and/or patches. The Competition Director or assigned alternate shall perform the expected duties governed by the Indiana/West Kentucky Region Meetings & attend at least 75% of the Regional meetings with a report back to the club.It is the duty of the Points Director to provide a list of possible points to be earned and to compile such points. Monthly up-to-date points are required to be made available to the General Membership.
Section 7‐ Duties of the Sergeant At Arms
The Sergeant At Arms shall be responsible for disciplining and/or ejecting any unruly attendees. Assisting in enforcing club rules, regulations and policies. Is the meetings "timekeeper". Is responsible for the club flag when attending club meetings, trips and functions.
Article VI
Section 1‐ Appointment of Committees
The President shall name a committee as he/she finds desirable from time to time, appoint a committee chairperson and outline the duties and responsibilities of such committees. All reports or action taken by a committee must be voted by a majority of the entire committee.
Section 2‐ Activities
The activities of the Club shall consist of planned trips, social gatherings, sanctioned competitions, and events for Club members.
Article VII
Section 1‐ Personal Liability
All persons or corporations extending credit to, contracting with or having any claims against the Club or the Officers, shall look only to the funds and property of the Club for Payment of any such contract or claim or for payment of any debt, damage, judgment, or decree, or any other money that may otherwise become due or payable to them from the corporation or the Officers; so that neither the members of the Club, the Officers, present or future, shall be liable personally therefore.
Article VIII
Section 1‐ Amendment to the By‐Laws
The officers of the Club, any ten Active Members in good standing by written proposals submitted to the Secretary, or an appointed committee may propose an amendment to the By‐Laws. Upon such proposal being made, a copy thereof shall be included in the notice of the next meeting of the members. Ballot voting shall be controlled by the same rules as set forth in Article IV, relating to the election of the Officers. If two‐thirds of the members qualified to vote, vote in favor of the proposal at the meeting, the proposed amendment shall thereby be approved and adopted.

Derby City Corvette Club Bylaw Addendums
Addendum A: Funding Of Programs
In January or February of each year, at a scheduled meeting, the manner in which the club’s fund raising monies will be spent is to be voted on. The various programs will be introduced, discussed, voted on, and if accepted, whatever percentage of total funds spent on each program will also be voted on. A majority vote of the members in attendance will be required to accept and pass the funding of a proposed program with club funds. Money for the Sunshine Fund will be raised from the 50/50 raffle.
